Material Transfer Agreements

Many investigators wish to receive and use materials that may become available for their research, but are proprietary to the developing organization or institution. Offers to use new biological materials, non-production software or chemical compounds usually require that the Principal Investigator and a Cornell official agree to and sign what is usually called a Material Transfer Agreement (MTA). Sometimes these conditions are incorporated within a Confidentiality Agreement.

MTA's regularly include conditions for control of the proprietary information, future intellectual property rights, insurance and indemnification and/or other limitations. Often these are terms which conflict with the terms of a sponsored agreement under which the research is being conducted. Therefore, the Office of Sponsored Programs is responsible for reviewing and approving these agreements. When investigators choose to make their materials available to others they should contact the Cornell Center for Technology, Enterprise and Commercialization (CCTEC) at 254-4698. CCTEC is responsible for the licensing and use of Cornell intellectual property.

In order to shorten the negotiation time for MTA's, OSP has developed an interactive form for providing the required information. The form is tailored to the specific circumstances surrounding the use of incoming materials at Cornell, and is to be used instead of the Academic Approval Form (OSP Form 10).
